Company registration in Thailand is a multi-stage process that depends on the type of activity, shareholder structure, registered capital, and business location.

Key requirements:
If the business activity does not fall under investment promotion regulations, the company must have the status of a Thai legal entity — no more than 49% of shares may be owned by foreign individuals.
The registered capital depends on:
- type of business activity,
- number of foreign employees (THB 2 million per foreign employee).

- Copies of passports and/or ID cards of shareholders and directors

Stages of company registration:
1. Name reservation
Three name options are submitted. One is approved by the Department of Business Development. The reservation is valid for 30 days.
2. Statutory meeting
Signing of the Memorandum of Association, Articles of Association, and other registration documents.
A minimum of 2 promoters (Thai nationals or foreigners, subject to legal requirements).
3. Payment of registered capital
The registered capital must be actually paid in cash, with verifiable source of funds.
4. Company registration
If there are foreign shareholders, Thai shareholders must confirm the availability of funds corresponding to the value of their shares.
5. Tax registration
Registration for corporate income tax. VAT registration if required.
6. Social Security Fund registration
Mandatory from the moment the first employee is hired.
7. Licensing
Business licenses, permits, and approvals are obtained if required.
